1. Acceptance of Terms

These Terms are a contract between VoxPoint LLC and the person or business accepting them. If you accept for a business, you confirm that you are authorized to bind it. Do not use the service if you do not agree. We identify the applicable policy version when you accept; material changes will be communicated before they take effect, except where an earlier change is needed for legal or security reasons. We request renewed acceptance where required.

These Terms incorporate the Subscriber Agreement, Refund and Cancellation Policy, License Agreement, and applicable use policies. Our data practices are described in the Privacy Policy, Acceptable Use Policy, and, if applicable, the Developer Agreement, API Terms of Use, and Marketplace Terms. Specific terms control their stated subject matter; a separately signed agreement controls only where it expressly overrides these Terms. The dispute process in Section 21 applies across these agreements unless a separately signed agreement expressly provides otherwise.

2. Description of Service

VoxPoint provides a business management platform including estimates, work orders, invoices, inventory management, expense tracking, vendor management, calendar and scheduling, team collaboration, a Client Portal for your customers, and a Developer Program with API access and Marketplace. Features may vary by subscription tier.

3. Organizations and Team Accounts

VoxPoint operates on an organization-based model. When you create an account, you create or join an organization.

  • Organization owners have full control including billing, team management, and ownership transfer.
  • Team members are assigned roles (Admin, Manager, Member, Technician, Viewer) with specific permissions. You are responsible for the actions of team members you invite.
  • Each organization's data is isolated. Team members cannot access data from organizations they do not belong to.
  • You are responsible for maintaining appropriate permissions and access control within your organization.

4. User Account Responsibilities

When you create an account, you agree to:

  • Provide accurate and complete information
  • Maintain the security of your password and account
  • Notify us immediately of any unauthorized access
  • Accept responsibility for all activities under your account
  • Maintain the security of any multi-factor authentication methods configured on your account
  • Account credentials must not be shared. Each team member must have their own account.

5. Client Portal

VoxPoint allows you to share documents and accept payments from your customers through the Client Portal.

  • You are responsible for the accuracy of information presented to your customers through the portal.
  • You are responsible for all content and communications sent to your customers via the portal.
  • Portal access links are time-limited and secured. You must not share portal management credentials with your end customers.
  • VoxPoint is not a party to any agreement between you and your customers.

6. Developer Program

Access to VoxPoint's APIs and Marketplace is governed by additional terms:

  • Developer Agreement
  • API Terms of Use
  • Acceptable Use Policy
  • Marketplace Terms

Participation in the Developer Program requires acceptance of these additional terms. VoxPoint reserves the right to revoke API access and remove Marketplace listings at its discretion.

7. Third-Party Integrations

VoxPoint offers optional integrations with third-party services including Stripe, QuickBooks Online, and Google Calendar.

  • Your use of these integrations is subject to the respective third-party terms of service.
  • We may exchange data with third parties only as needed to provide the integration, as authorized by you.
  • VoxPoint is not responsible for the availability, accuracy, or security of third-party services.
  • You may disconnect integrations at any time through Settings.

8. Acceptable Use

You agree not to:

  • Use the service for any illegal or unauthorized purpose
  • Violate any laws in your jurisdiction
  • Upload malicious code or attempt to hack our systems
  • Interfere with or disrupt the service or servers
  • Impersonate another person or entity
  • Use the service to spam or send unsolicited communications

Your use of VoxPoint is also subject to our Acceptable Use Policy.

9. Payment Terms

Subscription fees are billed in advance for the monthly or annual billing interval selected at checkout. All fees are non-refundable except as required by law or as stated in our Refund and Cancellation Policy. Pricing changes require at least 30 days' notice.

Current Pricing

  • Solo: $49 per month or $490 per year, with one included staff member.
  • Team: $99 per month or $990 per year, with five included staff members.
  • Additional staff: Charges and billing intervals are disclosed when you select or change your plan.
  • Features depend on your selected plan. Your checkout confirmation or existing subscription agreement identifies your applicable price, including any grandfathered pricing.
  • Optional add-ons and SMS: When offered and selected, the price, allowance, registration costs, usage charges, and billing interval must be disclosed before activation. You owe authorized usage charges already incurred even if you later cancel.

Billing

  • Payment processing is handled by Stripe. Your payment information is transmitted directly to Stripe and is not stored on VoxPoint servers.
  • Any SMS overage billing follows the pricing and billing terms you accepted when enabling that service.
  • Subscriptions automatically renew unless cancelled before the next billing date.
  • Failure to pay may result in restricted access or suspension under the billing collection process and Section 20.

10. Merchant Payments and Stripe Connect

When you collect customer payments through VoxPoint, you are the merchant providing the goods or services. Customer payments are processed as direct charges on your connected Stripe account. VoxPoint supplies payment software; it does not perform your customer work or decide whether your customer is entitled to a refund.

Payment processing is also subject to the Stripe Connected Account Agreement, including the Stripe Services Agreement. Stripe may require identity and business verification and may restrict payments, hold funds, delay payouts, or close an account under its agreements. VoxPoint does not guarantee payment approval or payout timing.

Customer refunds and cancellations

You are responsible for your customer contracts, fulfillment, invoices, taxes, refunds, and cancellation decisions. Before accepting payment, give your customers a clear refund and cancellation policy that complies with applicable law and payment-network rules. You must honor that policy and any rights the law gives your customers. VoxPoint's subscription refund policy does not replace your own customer policy.

Refunds you initiate are funded from your connected account. You must maintain or provide sufficient funds, including where a payment has already been paid out. Stripe may keep a card refund pending when the available balance is insufficient. A refund is subject to Stripe's processing and the customer's bank, and is normally returned to the original payment method.

Processing and platform fees

VoxPoint charges a platform transaction fee of 0.4% of the amount actually charged to the customer, rounded to the nearest cent, on payments processed through the connected payment flows. This includes any customer-facing service fee included in that charge. The platform fee is deducted as a Stripe application fee whether you absorb processing costs or charge your customer a permitted service fee.

Stripe's processing, dispute, currency-conversion, and other fees depend on the payment, your account, and Stripe's applicable pricing. An estimate displayed in VoxPoint is not a guarantee of the amount Stripe will charge or of your net payout. You remain responsible for any fee or surcharge you impose on your customers and for complying with the applicable disclosure requirements, laws, and card-network rules.

Refunding a customer payment does not automatically refund VoxPoint's 0.4% platform fee. VoxPoint retains that fee unless it separately approves a fee refund or a refund is required by law. Stripe's original processing fees are generally not returned; any fee credits or additional refund or dispute fees are governed by Stripe's terms and pricing.

Disputes, evidence, and negative balances

You are responsible for customer disputes, chargebacks, related fees, and negative balances arising from your transactions. Keep records supporting the customer's authorization, the agreed terms, fulfillment, and any refund. Monitor your Stripe account and submit accurate evidence through Stripe before the deadline shown for the dispute. Deadlines vary; a notification in VoxPoint does not extend them.

VoxPoint may display dispute information, deadlines, and status updates received from Stripe and provide links to Stripe's dispute tools. These displays and notifications supplement your Stripe account and may be delayed or incomplete. VoxPoint does not automatically submit your evidence, represent you in a dispute, or guarantee its outcome.

Stripe debits refunds and disputed amounts according to your connected account's configuration and its agreements. Stripe may seek funds from your connected balance or linked bank account and may hold VoxPoint responsible for an unrecovered connected-account deficit. If VoxPoint pays a refund, chargeback, fee, or deficit attributable to your transactions, you must reimburse the actual amount, except to the extent caused by VoxPoint's own breach, negligence, or misconduct. This allocation does not change Stripe's rights under its agreements.

VoxPoint may restrict payment features or suspend access where reasonably necessary to investigate suspected fraud, address excessive disputes, protect customers or the platform, or comply with law, payment-network requirements, or Stripe instructions. Suspension does not cancel your obligations for existing transactions, customer refunds, disputes, or unpaid amounts. We will provide notice when reasonably practicable and legally permitted.

11. Merchant-Set Service Fees

VoxPoint provides configurable tools that allow merchants to add service fees, convenience fees, or similar charges to customer invoices and payments. These tools are provided as a platform feature only. VoxPoint does not determine, advise on, or guarantee the legality or compliance of any fee you choose to enable or configure.

  • You are solely responsible for determining whether any service fee, convenience fee, surcharge, or related charge you enable complies with all applicable federal and state laws, regulations, and payment network rules (including Visa, Mastercard, and any other applicable card network rules) in your jurisdiction.
  • By enabling any fee feature within VoxPoint, you acknowledge and accept full responsibility for compliance with all applicable laws and regulations governing such fees.
  • VoxPoint makes no representations or warranties regarding the legality of any fee in any jurisdiction. Laws and card network rules governing surcharges and convenience fees vary by location and are subject to change.
  • VoxPoint shall not be liable for any fines, penalties, chargebacks, disputes, or other consequences arising from your use of fee configuration tools, including any determination by a card network, regulator, or court that a fee you charged was impermissible.

12. A2P 10DLC Registration

The SMS addon requires A2P (Application-to-Person) 10DLC registration with The Campaign Registry (TCR) to send business text messages in the United States, as required by carrier regulations.

  • By activating the SMS addon, you authorize VoxPoint to submit your business information, including legal business name, EIN (Employer Identification Number), address, and messaging use case, to TCR on your behalf.
  • Any registration or carrier charges are disclosed before activation and billed under the offer you accept.
  • VoxPoint is not responsible for TCR approval, denial, or the timing of the registration process. Campaign approval is subject to TCR's and carriers' policies, which are outside VoxPoint's control.
  • You are solely responsible for compliance with the Telephone Consumer Protection Act (TCPA), A2P regulations, and any applicable state laws governing business SMS messaging.
  • You must obtain proper consent from recipients before sending marketing or transactional messages. VoxPoint may suspend SMS access for non-compliant use without notice.

13. Intellectual Property

The service and its original content, features, and functionality are owned by VoxPoint and are protected by international copyright, trademark, and other intellectual property laws. You retain ownership of any data you input into the system.

14. Data Ownership

You retain all rights to your business data. We claim no ownership over the content you create, upload, or store using our service. Authorized users may use the available export tools while they have access. Subscription cancellation, access restrictions, and deletion requests are handled under Section 19 and our Privacy Policy.

  • This includes all customer records, estimates, invoices, work orders, inventory data, and any other business data you create within your organization.
  • Data ownership remains with the organization, not individual team members.

15. Disclaimers and Warranty

The service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. VoxPoint does not warrant that the service will be uninterrupted, error-free, or completely secure. You use the service at your own risk.

16. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the service. We may perform maintenance or updates that temporarily affect availability. We are not liable for any loss resulting from service interruptions.

17. Changes to Features and Pricing

VoxPoint may modify, add, or discontinue features at any time. We will provide reasonable notice for material changes that affect your use of the service. Pricing changes will be communicated at least 30 days in advance via email or in-app notification. Your continued use of the service after the effective date of any pricing change constitutes acceptance of the new pricing.

18. Limitation of Liability

To the maximum extent permitted by law, VoxPoint shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, arising from your use of the service.

VoxPoint's aggregate liability to you for any claims arising out of or related to these Terms or the service shall not exceed the greater of (a) $100 USD or (b) the total fees paid by you to VoxPoint in the three (3) calendar months immediately preceding the event giving rise to the claim.

The foregoing limitation of liability does not apply to claims arising from VoxPoint's fraud, willful misconduct, or gross negligence.

19. Cancellation, Export, and Deletion

An authorized organization owner can cancel renewal through Settings → Billing → Manage Subscription. Contact cfarris@voxpoint.org before renewal if you cannot access billing. Cancellation normally takes effect at the end of the current paid period. Refund requests, monthly and annual charges, and already incurred add-on usage are governed by the Refund and Cancellation Policy.

  • Export needed records using the available tools before paid access ends. After access ends or is restricted, self-service exports may be unavailable. An authorized owner may contact us to request an available export, subject to identity checks, security restrictions, technical feasibility, and legal obligations.
  • Cancelling a subscription stops renewal; it does not itself delete an organization or promise automatic deletion on a fixed schedule.
  • Members may request deletion of their own personal profiles. Only an authorized organization owner may request organization deletion. An employee leaving or deleting a profile does not delete the organization's records.
  • Deletion requests are reviewed under the Privacy Policy. Financial, tax, fraud-prevention, dispute, security, and legal-hold records may be retained where required or permitted for those purposes. We do not promise immediate deletion of all records or backups.

20. Suspension and Termination

VoxPoint may restrict or terminate access for a material breach, nonpayment, suspected fraud, security risk, or legal requirement. We will provide notice and an opportunity to address the issue when reasonably practicable, except where immediate action is needed. Termination for cause may end access before the paid period ends. Amounts already owed remain payable; refund exceptions and rights required by law remain available under the Refund and Cancellation Policy.

Export requests and retention follow Section 19 and the Privacy Policy, including when access is suspended. Provisions intended to survive termination, including accrued payment obligations, ownership, confidentiality, applicable disclaimers and liability limits, indemnification, and dispute resolution, continue to apply.

21. Washington Law and Dispute Resolution

These Terms and disputes arising out of the service are governed by Washington law, without its conflict-of-law rules, and applicable federal law. Nothing in these Terms limits rights or protections that applicable law does not allow a contract to waive.

Before filing a lawsuit, either party must send a written dispute notice describing the issue, relevant account or transaction, requested resolution, and contact details. Notices to VoxPoint LLC go to cfarris@voxpoint.org; we will send notices to the account’s designated email. The parties will try in good faith to resolve the matter for 30 days after receipt. This process does not prevent urgent court relief, a timely filing needed to preserve a claim, a payment dispute permitted by law, or contact with a government agency.

If the dispute remains unresolved, the parties agree to the exclusive jurisdiction of the state courts in Clark County, Washington, or, where federal jurisdiction exists, the United States District Court for the Western District of Washington, Tacoma Division. Either party may instead bring an eligible individual claim in a small-claims court with jurisdiction. Mandatory venue protections under applicable law still apply.

These Terms do not require arbitration and do not impose a class-action waiver. There is no designated arbitration provider or arbitration fee schedule. Court filing fees, costs, fee waivers, and any award of attorney fees are governed by applicable law and court orders.

22. Subscriber Indemnification

To the extent permitted by law, you will defend VoxPoint and its personnel against third-party claims arising from the following conduct by you or people using your organization account, and indemnify them for resulting damages, settlements approved under this section, and reasonable legal costs:

  • Your goods or services, customer work, invoices, or representations to customers.
  • Content you upload or publish that infringes a third party's rights.
  • Messages sent without required consent or in violation of SMS or marketing laws.
  • Unlawful payment surcharges, incorrect tax collection, or failure to remit taxes.
  • Misuse of customer information or a violation of your privacy obligations.
  • Your violation of applicable law, third-party rights, or these Terms.

This obligation applies only to the extent the claim results from that conduct. It does not cover a claim caused by VoxPoint's own breach of these Terms, negligence, or misconduct, and it does not remove any rights that applicable law makes nonwaivable.

VoxPoint will give you reasonably prompt written notice of a claim and reasonable cooperation at your expense. A delay in notice reduces your obligation only to the extent it materially prejudices your defense. You may control the defense with reasonably qualified counsel; VoxPoint may participate with its own counsel at its own expense. You may not settle a claim in a way that admits fault by VoxPoint, imposes a nonmonetary obligation on it, or fails to release it from the claim without VoxPoint's prior written consent, which will not be unreasonably withheld.
